Terms and Conditions

The terms and conditions apply to those who wish to have an online shop via this service.

These terms and conditions are a contract between you and the Decoware website providers. It applies to your use of this website, the website that we provide for you and to any related products and services we provide you with.

You must read, agree with, and accept all of the terms and conditions set out below, before we will create a site for you, or place references to your site on the decoware website.

We may amend these terms at any time by posting the amended terms on our site. All amended terms shall be effective 30 days after they are initially posted on our site. In addition you will receive email notification of all policy updates.

In this Agreement, "you" or "your" means any person or entity using the Service ("Users"). Unless otherwise stated, "we" or "our" or "us" will refer collectively to the providers of the floralkey service.

For the fees described on the prices page, FloralKey provides you with a bespoke website containing the facilities described below:

A unique URL in the format xxxxx.floralkey.co.uk. Where xxxxx is a name that you choose from those that are available and subject to our approval.
A publicly available six page website, the pages containing the following information about your business, as follows:
- Home Page - Introduction to your site
- About Us Page - Containing details of your organisation
- History Page - Containing background information about the subject of your business
- Shop page - A dynamically created page containing details of the products you have for sale. This functions as a hierarchical catalogue. See the example.
- Links Page - Containing links to other websites your customers may find useful
- Contact Page - Contain information on how your customers should contact you
A password accessed administration area where you can easily update the content on your web pages, including the products that you have for sale.
A transaction tracking system so that you can view the orders placed and those awaiting dispatch.
A store notification system to alert you promptly instore when a purchase has been made on the website, either via your instore computer system or via SMS on your mobile phone.
A database that automatically collects and stores details of all your customers.
The ability to send targetted e-mails to your customers who request them to notify them of offers, etc.
The automatic transmission of e-mails or SMS messages to your customers to notify them of the status/delivery of purchases they have made.

We will build the initial contect for you. You are responsible for supplying the content for the following pages: Home Page; About Us Page; Links Page; Contact Page.

We will set up your website with default content for the foregoing until you supply us with the relevant information.

By default the payment page is set up to use a PayPal account, although other payment gateways are supported. Please enquire as to the availability if you wish to use a different payment gateway.

FloralKey acts as an Internet service provider by creating, hosting, maintaining and providing our Service to you via the Internet.

Traders - your responsibilities

To be eligible for a website, you must be a resident of the United Kingdom.

All services may be used for lawful purposes only. Transmission, storage, or presentation of any information, data or material in violation of any laws is prohibited. We will be the sole arbiter as to what constitutes a violation of this provision.

You agree not to continue to send commercial e-mail to a recipient if recipient has requested that you discontinue such communication.

We reserves the right, at our sole discretion to deactivate your web hosting upon non payment of fees due.

You may not supply for publication on your website material that could be infringing on a third party's copyright.

We shall have no liability, directly or indirectly, to Complainants or third parties for your infringing copyrighted materials. You shall reimburse us for all expenses associated with processing valid infringement allegations and defending any and all legal claims associated therewith.

The hosting service is provided on an "as is" basis. We give no warranty, expressed or implied, for the web hosting services provided, including, without limitation, warranty of merchantability and warranty of fitness for a particular purpose. This no warranty expressly includes any reimbursement for losses of income due to disruption of service by us or our providers beyond the fees you pay us for services.

We are not responsible for any damages arising from your use of our systems or by your inability to use the services for any reason.

You are solely responsible for backup of data stored on the web server.

You hereby agree that any material submitted for publication through this service will not contain anything leading to an abusive or unethical use of the service. You agree to indemnify and hold harmless FloralKey from any claim resulting from your publication of materials or your use of those materials. We may or may not give notice before deactivating the use of a website which we decide is an unethical use of the service.

We maintain control and ownership of any and all URLs ending floralkey.co.uk that may be assigned to you.

If we cancel your account for any reason any amounts owed in arrears will be made due and payable immediately.

You agree to defend, hold harmless, and expeditiously indemnify us from any and all liability, claim, loss, damage or expense arising out of your breach or violation of any covenant contained in this Policy, or resulting from your use of the service.

Indemnification. You agree to indemnify and hold us harmless from any claim or demand made or incurred by any third party due to or arising out of your breach of these terms, or your violation of any law or the rights of a third party relating to your use of the Service.

You agree to waive and hold us harmless from any claims relating to any action taken by us as part of an investigation into a suspected violation of this Policy or as a result of its conclusion that a violation of this Policy has occurred. Therefore, you cannot sue or recover any damages whatsoever from us as a result of the decision to remove material from our server, or to suspend or terminate your account.

You may not transfer any rights or obligations you may have under this Agreement without our prior written consent. We reserves the right to transfer this Agreement or any right or obligation under this Agreement without your consent.

All users of this site

Use of any information obtained via FloralKey is at your own risk. We specifically deny any responsibility for the accuracy or quality of information obtained through this service.

We have a policy to respect and protect the privacy of our customers and their information that is stored online. We will only access and disclose information as necessary to comply with applicable laws and government requests, to provide the Services described, to operate or maintain its systems or to protect itself or its customers.

In the event that you have a dispute with one or more of your customers, you release FloralKey from any and all claims, demands and damages (actual and consequential) of every kind and nature arising out of or in any way connected with such disputes. If you are a California resident, you waive California Civil Code §1542, which says: "A general release does not extend to claims which the creditor does not know or suspect to exist in his favor at the time of executing the release, which if not known by him must have materially affected his settlement with the debtor."

Limitation of Liability. In no event shall we BE LIABLE FOR LOST PROFITS OR ANY SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR IN CONNECTION WITH OUR WEB SITE, OUR SERVICE, OR THIS AGREEMENT (HOWEVER ARISING, INCLUDING NEGLIGENCE). OUR LIABILITY, AND THE LIABILITY OF OUR PARENT, SUBSIDIARIES, EMPLOYEES AND SUPPLIERS, TO YOU OR ANY THIRD PARTIES IN ANY CIRCUMSTANCE IS LIMITED TO THE ACTUAL AMOUNT OF DIRECT DAMAGES.

All fees are in Pounds, Sterling.

This Agreement is governed by and interpreted under English Law.
